Welcome to Nova Tech. These Terms of Service govern your use of our digital agency services, website design, AI software tools, and academy training programs. By accessing or using our services, you agree to these terms.

1. About Nova Tech
Nova Tech operates through two divisions: Nova Tech Agency (digital marketing, SEO, PPC, Amazon brand growth, web development, graphic design, business formation, and AI agents) and Nova Tech Academy (digital skills training, live classes, workshops, and the Rise Scholarship).
2. Acceptance of These Terms
By submitting an inquiry, placing an order, making a payment, accessing a course, or using our website, you agree to these Terms of Service. If you represent an entity, you confirm authority to bind that entity.
3. Agency Services & Scope
Agency work is provided according to the agreed scope proposal. Work outside the agreed scope may require additional fees. Timelines may adapt when delays arise from client approvals or third-party platforms.
4. Client Responsibilities
Clients are expected to provide accurate information, timely approvals, brand assets, and platform access, and adhere to agreed invoice schedules.
5. Third-Party Platforms
We manage campaigns on Meta, Google, TikTok, Amazon, and hosting platforms. Clients retain account ownership. We use partner/delegated access where possible. Third-party algorithm changes or account policies remain outside Nova Tech's direct control.
6. Advertising & Marketing Performance
Advertising performance depends on audience demand, creative quality, site conversion rate, and platform algorithms. Specific revenue or conversion figures are not guaranteed unless stated in writing. Media ad spend is billed directly by the platform.
7. Amazon & Ecommerce Services
We provide listing optimization, PPC, product research, and Seller Central management. Clients remain responsible for inventory, product safety, compliance, and supplier costs.
8. Business Formation & LLC Services
Nova Tech provides filing and administrative corporate setup for US LLCs and UK LTDs. Government filing fees and registered agent costs are billed at cost. State agencies retain ultimate approval authority.
9. Website Development & AI Agents
Sites and AI agents are built to agreed technical specs. Once client sign-off is given, structural changes outside the initial brief incur standard developer rates. Autonomous AI models operate on zero-hallucination guardrails.
10. Academy Enrollment & Scholarships
Enrollment in Nova Tech Academy programs is confirmed upon fee settlement. The Rise Scholarship awards a standing 50% waiver for qualifying women and minority candidates across all cohorts.
11. Intellectual Property
Clients own 100% of final delivered assets upon full payment. Nova Tech retains ownership of pre-existing templates, proprietary AI prompts, and training systems. Students may use course materials for personal development only.
